Terms of Service

Effective date: July 16, 2026

These Terms of Service (“Terms”) are a legal agreement between you and Barzxwaz, the owner and operator of Kokar (“Kokar”, “we”, “us”, or “our”), based in the Kurdistan Region, Iraq. They govern your access to and use of the Kokar website, applications, and related services (the “Service”).

By creating an account or otherwise using the Service, you agree to these Terms. If you're accepting these Terms on behalf of an organization, you confirm you have the authority to bind that organization, and “you” refers to both you and the organization.

These Terms, together with our Privacy Policy, affect your legal rights and obligations. If you do not agree to them, please do not access or use the Service.

1. Your Account

1.1. Accurate Information. You must provide accurate and complete information when you create your account, and keep it up to date.

1.2. Safeguarding Your Account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.

1.3. Security Notification. Notify us immediately at support@kokar.krd if you become aware of any breach of security or unauthorized use of your account.

1.4. Appropriate Permissions. You may not use another person's account without permission, or let anyone use yours in a way that violates these Terms.

1.5. Age. You must be at least 16 years old to use the Service. By using Kokar, you confirm you meet this requirement and have the legal capacity to enter into these Terms.

1.6. Sign-in Methods. You may sign in with a password or a Google account. Either way, you are responsible for keeping that sign-in method secure.

2. Description of the Service

2.1. What Kokar Is. Kokar is a workspace for managing projects, tasks, documents, files, attendance, calls, and team communication.

2.2. Changes to the Service. Features, plans, and limits may change over time as we improve the Service. We will make reasonable efforts to give you notice of changes that materially reduce functionality you rely on.

2.3. Free and AI Features. Some features (for example, certain AI-assisted features) may be offered on a limited free-use basis regardless of your subscription plan; the current limits are shown in the product.

3. Acceptable Use

When using the Service, you agree that you will not:

  • Use the Service for any unlawful purpose, or in a way that infringes anyone else's rights.
  • Upload or share content that is defamatory, fraudulent, harmful, or malicious (including malware).
  • Attempt to gain unauthorized access to any account, system, or data that is not yours.
  • Reverse engineer, decompile, scrape, or attempt to extract the Service's source code or underlying data at scale, except where the law expressly permits it.
  • Access our private API by any means other than those we expressly authorize.
  • Interfere with or disrupt the integrity or performance of the Service, including overloading it or bypassing rate limits or security controls.
  • Impersonate any person or entity, or misrepresent your affiliation with one.
  • Resell, sublicense, or commercially exploit the Service except as expressly permitted in these Terms.

4. Subscriptions, Billing & Payment

4.1. Fees. Paid plans are billed per organization. If you have a paid plan, you agree to pay all applicable fees when they become due. Payments are handled by a third-party payment processor; we do not store your full card or payment account details ourselves.

4.2. Manual Renewal, Grace, and Freeze. Kokar does not automatically renew subscriptions — you (or your organization's owner) actively renew before the current period ends. If you do not renew, your paid access continues until the end of the period you have already paid for, followed by a short grace period. After that, the organization's workspace becomes read-only (frozen) — members cannot create or edit content — until the subscription is renewed or the organization moves to the Free plan. Freezing never deletes your data; renewing restores full access.

4.3. Downgrades. A downgrade to a lower-tier plan takes effect immediately, and is different from simply not renewing: you lose the higher plan's features right away, and any time remaining on the plan you already paid for is lost and is not refunded. We show a clear warning before a downgrade is confirmed.

4.4. Non-Refundable. Except where required by applicable law, or expressly stated otherwise at the time of purchase, all payments are non-refundable.

4.5. Changes to Fees. We may change our fees from time to time. Where a change affects your plan, we will make reasonable efforts to notify you in advance.

4.6. Currency. The amount and currency of each charge are shown before you complete payment.

5. Your Content

5.1. Ownership. You retain ownership of the tasks, documents, messages, files, and other content you or your organization create in Kokar (“Your Content”).

5.2. License to Us. You grant us a limited, non-exclusive license to host, store, process, transmit, and display Your Content solely as needed to provide, secure, and improve the Service for you.

5.3. Your Responsibility. You are responsible for Your Content and for having the necessary rights to upload and share it. You represent that Your Content does not violate these Terms or any third party's rights.

5.4. Aggregated Insights. We may analyze how the Service is used to operate and improve it. Where data is aggregated and anonymized so it does not identify you or your organization, we may use it for analytics, benchmarking, and reporting.

6. Our Intellectual Property

6.1. Ownership. Kokar — including its software, design, look and feel, branding, and underlying technology (“Kokar Content”) — is owned by Barzxwaz and protected by intellectual property laws. Except for Your Content (§5), all rights in the Service remain ours.

6.2. Restrictions. You may not copy, modify, distribute, sell, or create derivative works from Kokar Content, or remove any proprietary notices, except as expressly permitted in these Terms.

6.3. Trademarks. The Kokar and Barzxwaz names and logos are our trademarks and may not be used without our prior written permission.

7. Software

We may provide downloadable or installable client software, including our mobile application (the “Software”). Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software solely to access the Service. The Software may update automatically. We retain all right, title, and interest in the Software.

8. Third-Party Services

The Service relies on third-party providers to operate — for example, for sign-in, communications, payments, and file storage. If you connect a third-party application, you consent to sharing the relevant Content with it, subject to that provider's own terms and privacy policy. We are not responsible for the availability, acts, or omissions of these third parties, though we choose providers we consider reliable.

9. Service Availability & Backups

9.1. Availability. We aim to keep the Service available, but it may be interrupted for maintenance, upgrades, or reasons beyond our control, and we may modify, suspend, or discontinue parts of it.

9.2. Backups. Kokar is not a backup service. We encourage you to keep your own copies of important Content. To the maximum extent permitted by law, we are not liable for any loss of Content.

10. Termination & Suspension

10.1. By You. You can stop using the Service and delete your account at any time.

10.2. By Us. We may suspend or terminate your access if you materially breach these Terms, for non-payment (see §4), if required by law, or if your continued use creates risk or possible legal exposure for us. Where reasonably possible, we will try to give you notice.

10.3. Effect of Termination. On termination, your access rights end and Your Content may no longer be accessible through your account.

10.4. Survival. Sections that by their nature should survive termination — including §6 (Our Intellectual Property), §11 (Disclaimer of Warranties), §12 (Limitation of Liability), and §13 (Indemnification) — will continue to apply after your access ends.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

12. Limitation of Liability

To the maximum extent permitted by law, Barzxwaz and Kokar will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you (or your organization) paid us in the 12 months before the claim arose.

13. Indemnification

You agree to indemnify and hold Barzxwaz and Kokar harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.

14. Reporting Infringement

We respect intellectual property rights. If you believe content on the Service infringes your rights, contact us at support@kokar.krd with a description of the work, where the material is located, and your contact details. We may remove content we believe infringes, and we may terminate the accounts of repeat infringers.

15. Governing Law & Disputes

These Terms are governed by the laws of the Kurdistan Region, Iraq. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of the Kurdistan Region, Iraq.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, notify you (by email or a notice inside the Service) before the change takes effect. Continuing to use the Service after a change becomes effective means you accept the updated Terms.

17. General

17.1. Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.

17.2. No Waiver. Our failure to enforce any provision is not a waiver of it.

17.3. Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

17.4. Entire Agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements on the subject.

17.5. Language. These Terms are provided in English and Kurdish. In case of any discrepancy between the two versions, the English version prevails.
